Agreement to terms
These Terms of Service ("Terms") govern your access to and use of PdfDojo's website, API, and related services (collectively, the "Services") operated at pdfdojo.com. By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
This is a template agreement. Have it reviewed by qualified legal counsel before relying on it in production.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract to use the Services.
Description of the Services
PdfDojo provides browser-based and account-based PDF tools (such as merging, splitting, compressing, and organizing documents) and related interfaces. Features, limits, and availability may change. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.
Accounts and API keys
You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity under your account except where caused by our gross negligence or willful misconduct. Notify us promptly of unauthorized use.
Acceptable use
You agree not to:
- Use the Services in violation of applicable law or third-party rights
- Attempt to probe, scan, or test the vulnerability of our systems without authorization
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Use the Services to send spam, harass others, or conduct illegal communications
- Reverse engineer, decompile, or disassemble the Services except where law forbids this restriction
- Resell or sublicense the Services except as expressly permitted in writing
Fees and payment
Paid features are subject to the fees and billing terms presented at purchase or in your order. Taxes may apply. Failure to pay may result in suspension or termination of access.
Intellectual property
The Services, including software, branding, and documentation, are owned by PdfDojo or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You retain ownership of your data; you grant us a license to use it as needed to provide the Services.
Third-party services
The Services may integrate with or link to third-party services. We are not responsible for third-party content or practices. Your use of third-party services is at your own risk and subject to their terms.
Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PDFDOJOAND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF FREE, ONE HUNDRED DOLLARS (USD $100), UNLESS APPLICABLE LAW REQUIRES OTHERWISE).
Indemnity
You will defend and indemnify PdfDojo and its affiliates against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we must comply with law or protect the Services. Provisions that by their nature should survive will survive termination.
Changes to the Services or Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use after changes become effective constitutes acceptance, where permitted by law. For material changes, we may provide additional notice as required.
Governing law
These Terms are governed by the laws of the jurisdiction in which PdfDojo is organized, without regard to conflict-of-law principles, except where mandatory consumer protections apply in your country. Courts in that jurisdiction will have exclusive jurisdiction over disputes, subject to mandatory arbitration or venue rules where applicable.
